Regulatory Status
Gorilla Tech Capital Limited (formerly Shackleton Finance Limited) is authorised and regulated by the Financial Conduct Authority (FCA) (FRN: 189221). It is an FCA-authorised Alternative Investment Fund Manager (AIFM) and a MIFIDPRU Small and Non-Interconnected (SNI) investment firm; prudential requirements apply on a solo basis. The firm is a wholly-owned subsidiary within the Gorilla Technology Group.

Risk Warnings
- Capital at risk. The value of investments and any income from them can fall as well as rise, and investors may not get back the amount originally invested.
- Illiquidity. Interests in the funds are illiquid, are not readily realisable, and are intended to be held for the long term. There is no secondary market.
- No guarantee. Past performance is not a reliable indicator of future results. No return is promised or guaranteed.
- Concentration. The strategies focus on digital-infrastructure and technology-related assets and may be more concentrated than a diversified portfolio.
- Conflicts of interest. The firm operates within a group that may originate or deliver investment opportunities; these conflicts are managed under the framework described below.
Conflicts of Interest
The firm maintains a Conflicts of Interest Policy reflecting its position within a vertically integrated group. Related-party ("Category A") transactions are subject to enhanced controls, including independent valuation, benchmarking, compliance assessment and an affirmative independent vote. An Independent Non-Executive Director is to be appointed to exercise this veto; pending that appointment, the Chair (Hugh Stewart, SMF9) exercises it on an interim basis. A conflicts register is reviewed quarterly.
Promotion of the Funds
The funds are available only to professional clients and eligible counterparties. They are not available to ordinary retail investors. Subscriptions are made only on the basis of the relevant fund’s offering document, and nothing on this website constitutes investment, legal or tax advice.
MIFIDPRU 8
The firm publishes disclosures in line with the requirements which apply to the company as a MIFID investment firm which is classified as Small and Non-Interconnected and which has no Additional Tier 1 capital instruments in issue. See the prudential disclosures .
Stewardship
The firm supports the objectives of the UK Stewardship Code and engages actively with investee companies, often through board representation. As a manager of private, illiquid investments across venture, development-capital, secondary and smart-infrastructure strategies — which do not generally involve quoted equities and are not marketed to retail investors — it has not formally signed up to the Code. Complaints
The firm takes all complaints seriously. Complaints should be directed to the Compliance Officer; eligible complainants may, if dissatisfied, refer the matter to the Financial Ombudsman Service. See the complaints procedure .
